PCB Processing Contract Guidelines
Introduction
For any business collaboration, having a formal agreement or contract is crucial to avoid disputes and clarify responsibilities. This principle also applies to PCB processing companies. Here are some essential points to consider when drafting a PCB processing contract:
Key Contract Elements
- Contract No: ___________________________
- Party A: Address:
- Party B: Address:
Product Details
The contract should outline the product name, model, specifications, materials, process requirements, quantity, unit price, and other relevant details of the PCB as specified in the quotation sheet.
Quality and Standards
Party B is responsible for processing the PCBs according to national industry standards and the approved model by Party A. Any specific quality or technical standard requirements must be communicated in writing before production begins.
Prototype Production
Two types of samples are considered: R&D proofing and pre-production sample sealing. Party B will provide one set of R&D proofing samples free of charge each month. Additional sets will incur an engineering fee. Pre-production sealing samples will be sent to Party A for confirmation before production.
Mold Charges
Party B will create molds as per Party A’s requirements. The mold cost will be borne by Party A, with provisions for refunds based on the total production volume.
Confidentiality
Party B must maintain the confidentiality of Party A’s technical information and may face legal action if confidentiality is breached.
Acceptance Standards
Both parties agree to check and accept goods based on national standards. Any quality issues must be raised within a specified timeframe for resolution.
Delivery and Payment
Party B will handle delivery, with freight costs covered by Party A. Payment options and credit limits will be outlined, with a suspension of supply for exceeding credit limits.
Liability for Breach of Contract
Details regarding the consequences of breaching the contract will be included to ensure accountability.
Payment Terms:
- Party A is required to make payments for the goods according to the agreed settlement method and within the specified time limit. Failure to do so will result in Party B ceasing to accept orders, produce, and supply goods. Additionally, Party A will be subject to a penalty of 0.1% of the overdue amount per day.
- Party B is obligated to deliver goods punctually. Any delays will result in a penalty of 0.1% of the overdue amount per day.
Order Policy:
Due to the unique nature of PCB circuit boards, once orders are placed, Party A is not permitted to cancel them. In the event of cancellation, Party B will be entitled to compensation for any economic losses incurred.
Dispute Resolution:
In the event of disputes arising during the execution of the contract, they will be resolved through negotiations. If no resolution is reached, either party reserves the right to seek legal recourse in a court with appropriate jurisdiction.
Contract Details:
- Contract Validity: The contract is effective from [Insert Start Date] to [Insert End Date]. In the absence of any objections, the contract will automatically renew until a new agreement is reached.
- Contract Copies and Attachments: This contract exists in duplicate, with each party holding a copy, both carrying equal legal weight. It becomes enforceable upon signature. The attachments, including quotations, orders, confirmation signatures, delivery notes, and statements, are integral components of this agreement.
